NDAs — Fixed-Fee Drafting & Review for UK Businesses

A confidentiality agreement copied from the internet can be worse than having none at all: it gives false comfort while being too weak to enforce. Pacific Law drafts and reviews non-disclosure agreements (NDAs) for UK businesses on a fixed fee — no hourly rates, no surprises. Whether you’re sharing an idea with an investor, entering a development partnership or protecting trade secrets with employees and contractors, we make sure what’s confidential stays confidential

    What We Draft and Review

    Mutual (Two-Way) NDAs

When both parties exchange sensitive information — joint ventures, merger discussions, development partnerships — a mutual NDA protects both sides with balanced obligations. We draft:

    • Symmetrical confidentiality obligations appropriate to the deal
    • Clear definitions of what counts as confidential information
    • Fair durations and permitted disclosures (advisers, regulators, affiliates)

    One-Way (Unilateral) NDAs

When you’re disclosing to a potential investor, manufacturer, licensee or agency, the protections should favour you. Our one-way NDAs:

    • Restrict use of your information to the stated purpose only
    • Require return or destruction of materials on request
    • Preserve your intellectual property rights expressly — disclosure is not a licence

    Investor & Fundraising NDAs

Preparing to pitch to investors? While most VCs won’t sign NDAs before hearing your pitch, angels, family offices and strategic partners frequently will. We tailor:

    • Term sheets and pitch-material protections
    • Non-solicitation of your team and customers
    • Residuals clauses — and when to refuse them

    Employment & Contractor NDAs

Protecting trade secrets when staff and freelancers move on. We handle:

    • Standalone confidentiality agreements for contractors and developers
    • NDAs embedded within consultancy and employment arrangements
    • Restrictive covenants that connect properly to confidentiality duties — see our consultancy agreements service

    M&A and Transaction NDAs

Buying or selling a business? Early-stage disclosure of financials and customer data needs the right protections before heads of terms are signed. We draft transaction NDAs that survive failed deals.

    NDA Reviews With Red-Flag Report

Already been handed an NDA to sign? Within 48 hours we return a plain-English report flagging:

    • Overbroad or meaningless confidentiality definitions
    • One-sided obligations you shouldn’t accept
    • Damaging non-solicit or residual knowledge clauses
    • Duration, jurisdiction and enforcement gaps

What Goes Wrong With Poorly Drafted NDAs

Definition too vague — “confidential information” defined as “all information disclosed” covers nothing and everything. Courts have struck down NDAs on this alone.

No enforcement teeth — The agreement restricts disclosure but sets no remedies, no injunction rights and no costs recovery. A promise without a penalty is rarely kept.

Wrong duration — Trade secrets need indefinite protection; market data loses sensitivity in months. Template NDAs apply one blanket period to everything.

IP rights accidentally undermined — Some NDAs imply a licence to use disclosed materials. If you’re pitching software, your software licence agreements and NDAs must work together, not in conflict.

Non-solicit clauses that punish you — Templates often bind both parties with non-solicitation terms that damage your own hiring and sales.

Each risk is avoided by bespoke drafting calibrated to what you’re disclosing and why.
